Contract Analysis skill for Claude Code

Cited clause tables and deadlines, not legal advice. Claude turns a contract into a cited reading aid: defined terms, a clause table with section numbers and quoted operative words, and an obligations table with computed renewal and notice dates. A clause checklist drives rated risk flags from your side of the deal, missing clauses are listed, and every report opens with a not-legal-advice notice and ends with questions for counsel.

What Claude sees before loading it

This description is the only part of the skill that sits in context all the time. Claude reads it to decide when to load the full playbook below.

description: Performs structured, non-legal-advice review of contracts and agreements (MSA, SaaS terms, NDA, DPA, SOW, employment, leases) - document intake and version check, defined-terms map, clause extraction with exact section citations, an obligations and key-dates table (renewals, notice windows, payment terms), risk flags against a clause checklist (liability caps, indemnities, auto-renewal, termination, IP, data protection, governing law), missing-clause detection, redline comparison, and questions for counsel. Use when asked to summarize a contract, find renewal or termination dates, list obligations, compare two versions, or flag risky terms before signing.

Try asking

  • Summarize this SaaS MSA and list every renewal and notice deadline
  • Flag risky clauses in this vendor agreement from the customer's side
  • Compare v2 and v3 of this contract and explain what changed

Use it when

  • You need a structured summary of a contract before a lawyer reviews it
  • Tracking renewal, termination, and payment deadlines
  • Comparing two versions of an agreement
  • Spotting one-sided or missing clauses before negotiation

Skip it when

  • You need a binding legal opinion - consult a qualified lawyer
  • The task is removing personal data from the document - use document-redaction

How to check the result

Every extracted term carries a section citation that spot-checks correctly, computed dates are recalculated with stated counting rules, and the not-legal-advice line heads the report.

The common mistake it prevents

Missing terms incorporated by reference, such as online policies or order forms with a precedence clause, which can override the main agreement the review covered.

--- name: contract-analysis description: Performs structured, non-legal-advice review of contracts and agreements (MSA, SaaS terms, NDA, DPA, SOW, employment, leases) - document… license: MIT ---

This skill produces a structured reading aid, not legal advice. Every output states that it is not legal advice, cites the section for every claim, quotes the operative words for anything flagged, separates what the document says from interpretation, and ends with questions for a qualified lawyer. When a decision carries legal or financial risk, say plainly that counsel should review before signing.

Ground rules

  • Put this line at the top of every deliverable: “Not legal advice. This is an automated reading aid; have a qualified lawyer review before relying on it.”
  • Cite section numbers (and page if available) for every extracted term. No citation, no claim.
  • Quote short operative language verbatim for each risk flag; paraphrase only in a separate “plain reading” column.
  • Never invent standard terms that are not in the text. If a clause is absent, report it as absent.
  • Note jurisdiction: enforceability of the same clause varies by governing law; flag that rather than concluding.
  • Treat the document as confidential. Do not paste it into external services the user has not approved.

Workflow

- [ ] 1. Intake: identify document type, parties, version/date, signature status, attachments
- [ ] 2. Extract text reliably (OCR scans first); confirm page and section numbering
- [ ] 3. Build the defined-terms map
- [ ] 4. Extract clauses into the clause table with citations
- [ ] 5. Build the obligations and key-dates table
- [ ] 6. Run the risk checklist; flag and explain with quotes
- [ ] 7. List missing clauses and cross-reference gaps
- [ ] 8. If two versions: compare and summarize changes
- [ ] 9. Write the report with questions for counsel

1-2. Intake and extraction

  • Confirm what is in scope: the main agreement plus exhibits, order forms, SOWs, DPAs, and any terms incorporated by reference (URLs to online terms, policies). Incorporated documents can override the main text - list them and say whether they were reviewed.
  • Check precedence clauses (“in case of conflict, the Order Form prevails”).
  • PDFs: extract text with layout (pdftotext -layout contract.pdf -); for scans run OCR first (see ocr-scans) and spot-check numbers and dates against the image.
  • Record the version: file name, date in the document, draft vs executed, and whether signature blocks are filled.

3. Defined terms

Capitalized terms change meaning. Build a table of each defined term, its definition section, and a one-line plain reading. Watch for definitions that do heavy lifting: “Confidential Information”, “Losses”, “Fees”, “Services”, “Affiliate”, “Change of Control”, “Cause”, “Business Day”.

4. Clause table

TopicSectionWhat it says (plain reading)Quote (operative words)
Term2.112 months from Effective Date“initial term of twelve (12) months”
Renewal2.2auto-renews for 12 months unless notice 60 days before end“unless either party gives written notice at least sixty (60) days”
Fees and increases5.3prices may rise up to 7% at renewal…
Liability cap11.2capped at fees paid in prior 12 months…

Cover at least: parties, term, renewal, termination (for convenience, for cause, cure periods), fees, payment terms, price changes, SLAs and credits, warranties, liability caps and exclusions, indemnities, IP ownership and licenses, confidentiality, data protection, assignment and change of control, non-compete/non-solicit, exclusivity, governing law, dispute resolution, notices.

5. Obligations and key dates

#PartyObligationSectionTrigger / deadlineRecursConsequence if missed
1CustomerGive non-renewal notice in writing to legal@vendor2.2, 14.160 days before 2027-03-31 = 2027-01-30yearlyauto-renews 12 months
2CustomerPay invoices5.2net 30 from invoicemonthly1.5%/month late fee, suspension after 15 days notice
3VendorNotify security breachDPA 7.1within 72 hours of awarenessevent-
  • Compute concrete dates from the effective date and state the assumption (calendar vs business days, which time zone, inclusive or exclusive counting). Flag any date computation that depends on an unknown (effective date not filled in).
  • Include the notice mechanics: method (email allowed or courier only), address, and the section that defines them. A notice sent the wrong way may be invalid.
  • Offer an .ics or CSV export of the dates if the user wants reminders.

6. Risk flags

Run the checklist in references/clause-checklist.md; read it when performing step 6. Rate each flag by impact to the user’s side:

RatingMeaning
Highuncapped or unusual exposure, one-sided termination, IP assignment beyond scope, auto-renewal with long notice and price uplift
Mediumbelow-market protections, vague obligations, short cure periods, broad indemnity triggers
Lowdrafting issues, inconsistent terms, missing definitions
Infoworth knowing, no action

Always identify whose perspective you review from (customer, vendor, employee, landlord); the same clause can be favorable to one side and risky to the other. If the user has not said which side they are on, ask.

7. Missing and inconsistent

  • Clauses expected for the document type but absent (no limitation of liability, no DPA with personal data processing, no termination for convenience).
  • Cross-references to sections or exhibits that do not exist.
  • Defined terms used but never defined, or defined twice differently.
  • Numbers in words and digits that disagree (“thirty (60) days”).

8. Version comparison

Compare clause by clause, not only text diff: diff <(pdftotext -layout v1.pdf -) <(pdftotext -layout v2.pdf -) finds textual changes; then report each material change with old text, new text, section, and why it matters. Renumbered sections make raw diffs noisy - align by heading.

Output: contract review

> Not legal advice. This is an automated reading aid; have a qualified lawyer review before relying on it.

# Review: Acme Cloud MSA v3 (draft dated 2026-09-14), reviewed from Customer's side
**Parties:** Acme Cloud Inc. (Vendor), Example Ltd (Customer) **Governing law:** Delaware (s. 15.1)
**Documents reviewed:** MSA, Order Form #2, DPA. **Not reviewed:** Acceptable Use Policy (incorporated by URL, s. 3.4)

## Key dates
| Date | Event | Section |
...

## Risk flags
| Rating | Topic | Section | Quote | Why it matters |
|---|---|---|---|---|
| High | Auto-renewal + uplift | 2.2, 5.3 | "...renew automatically..." | 60-day notice window; up to 7% increase each renewal |

## Missing or inconsistent
- No cap on Vendor's data breach liability carve-out (s. 11.3 excludes it from the cap but sets no separate cap).

## Questions for counsel
1. Is the uncapped indemnity in s. 10.1 acceptable given our insurance?

Gotchas

  • “Including without limitation” lists are examples, not limits; “solely” and “only” narrow. Small words change meaning - quote them.
  • “Best efforts”, “reasonable efforts”, and “commercially reasonable efforts” differ by jurisdiction; flag, do not define.
  • Survival clauses keep obligations alive after termination (confidentiality, indemnity, payment); include them in the obligations table.
  • Online terms incorporated by URL can change; note the retrieval date if reviewed.
  • OCR errors in numbers (5 vs 6, 0 vs 8) can flip a deadline; verify every date and amount against the page image.

Verification

  • Every row in every table has a section citation; spot-check five against the source.
  • All computed dates recalculated independently (script or second pass) with stated counting rules.
  • The disclaimer line is present at the top of the deliverable.
  • Questions for counsel cover every High flag.

# Clause risk checklist

Not legal advice. These are prompts for what to look at and what to ask counsel, not
conclusions about enforceability. Review from the perspective of the side the user
represents; "risk" below is written mostly from the customer or receiving side, with the
vendor view noted where it flips.

## Term, renewal, termination

| Check | Flag when | Ask counsel |
|---|---|---|
| Auto-renewal | renews automatically with a notice window over 30 days, or notice must be sent by courier only | can notice be by email; can the window be shortened |
| Price changes at renewal | uncapped increases, or "then-current list price" | cap (e.g. CPI or fixed %) |
| Termination for convenience | only one party has it, or long notice | mutual right; refund of prepaid fees |
| Termination for cause | no cure period, or cure period under 15-30 days, or vague "material breach" | defined cure period and process |
| Effects of termination | no data return/export window, fees accelerate on termination | data export period, deletion certificate |
| Minimum commitments | multi-year spend commitments, true-ups, shortfall fees | ramp schedule, exit for vendor failure |

## Money

| Check | Flag when |
|---|---|
| Payment terms | shorter than net 30 for the customer; vendor view: longer than net 45 |
| Late fees and suspension | suspension without notice or on disputed amounts |
| Taxes | unclear who pays withholding or VAT/GST |
| Audit rights | vendor may audit customer usage on short notice at customer cost |
| Expenses | reimbursable expenses without cap or pre-approval |
| Currency and FX | invoices in a currency different from the budget without rate rules |

## Liability and risk allocation

| Check | Flag when |
|---|---|
| Limitation of liability | cap is very low (e.g. fees for 1-3 months), or applies only to one party |
| Carve-outs from cap | none for confidentiality breach, data breach, IP indemnity, gross negligence, or wilful misconduct (common carve-outs) - or carve-outs so broad the cap is meaningless |
| Exclusion of consequential damages | excludes lost data or the main damages a breach would cause |
| Indemnities | one-way; triggered by "any claim arising from use"; no defense control or notice procedure |
| IP infringement indemnity | missing from vendor; no remedies (modify, replace, refund) |
| Insurance | required coverage absent or amounts unrealistic for the party |
| Warranties | "as is" with no performance warranty for paid services; very short warranty period |
| SLA | credits as "sole and exclusive remedy" with tiny credits; no termination right for chronic failure |

## Intellectual property and work product

| Check | Flag when |
|---|---|
| Ownership of deliverables | vendor owns custom work the customer paid for, without a broad license |
| Pre-existing IP | assignment clause sweeps in pre-existing or general know-how (vendor or employee side) |
| Feedback clauses | perpetual, irrevocable rights to customer feedback and ideas |
| Customer data rights | vendor may use customer data for "improving services", training models, or benchmarking without limits |
| Open source / third-party | no disclosure of third-party components with restrictive licenses |
| Employment invention assignment | covers inventions made outside work time and unrelated to the business |

## Confidentiality and data

| Check | Flag when |
|---|---|
| Definition | only marked information counts; oral disclosures need written confirmation within a short window |
| Duration | ends too soon for trade secrets (should last as long as secret) |
| Personal data | processing personal data without a DPA or equivalent terms |
| DPA essentials | missing: processing instructions, subprocessors list and change notice, breach notification timeline, international transfer mechanism, deletion at end, audit rights |
| Security | no security standard, certifications, or breach notification deadline |
| Data location | storage or support access from regions the user cannot accept |

## Restrictions

| Check | Flag when |
|---|---|
| Non-compete | broad scope, long duration, wide geography; enforceability varies widely by jurisdiction |
| Non-solicitation | covers customers or employees broadly, or is one-way |
| Exclusivity | customer must buy only from the vendor; vendor view: most-favored-customer pricing promises |
| Assignment and change of control | one party cannot assign in a merger or sale; counterparty may terminate on change of control |
| Publicity | vendor may use customer name and logo without consent |

## Law and disputes

| Check | Flag when |
|---|---|
| Governing law and venue | unfamiliar or distant jurisdiction for the user |
| Arbitration | mandatory arbitration with class waiver, costs split unfavorably, or confidential awards when public court is preferred |
| Jury waiver, limitation periods | shortened time to bring claims |
| Amendments | one party may change terms unilaterally by posting online |
| Entire agreement | excludes promises made in sales materials the user relies on |
| Notices | method and address unclear, or email not allowed |

## Drafting hygiene

- Defined terms used inconsistently or not defined
- Cross-references to missing sections or exhibits
- Numbers in words and digits that disagree
- Blank fields (dates, amounts, names) in a document marked final
- Order of precedence missing when several documents form the contract
- Signature blocks naming a different legal entity than the parties clause

## Document-type quick lists

| Type | Must check first |
|---|---|
| NDA | mutual vs one-way, definition, exclusions, term, residuals clause, return/destroy |
| SaaS / MSA | renewal, price uplift, liability cap and carve-outs, data rights, SLA, termination and export |
| DPA | roles (controller/processor), subprocessors, transfers, breach timeline, audit, deletion |
| SOW | deliverables and acceptance criteria, change control, milestones, payment on acceptance |
| Employment / contractor | IP assignment scope, non-compete/non-solicit, termination notice, classification signals |
| Lease | term, rent escalation, maintenance responsibilities, assignment/sublet, break clauses, deposit return |
